Terms and Conditions of Sale and Service

Miracle Cyber LLC

1. Scope of Application

These Terms and Conditions govern all sales of services and products by Miracle Cyber LLC (“Company”) to its clients (“Client”). Any deviating or supplementary terms and conditions provided by the Client are hereby expressly rejected and shall not apply unless explicitly accepted in writing by Miracle Cyber LLC.

2. Order and Acceptance

Orders placed by the Client constitute a binding commitment to purchase the selected service or product. An order is deemed accepted upon confirmation by Miracle Cyber LLC via written acknowledgment, invoice, or the commencement of service delivery.

3. Pricing and Payment Terms

  • All prices are in U.S. Dollars and exclusive of any applicable taxes, unless otherwise specified.
  • Invoices are payable within 21 working days of the invoice date unless a different due date is expressly stated on the invoice or agreed in writing.
  • In the event of late payment, Miracle Cyber LLC reserves the right to charge a fixed late fee of 10% on the outstanding balance.
  • Services may be suspended without prior notice if payment is delayed beyond the stated due date.
  • If payment remains outstanding for more than 60 days, Miracle Cyber LLC reserves the right to refer the matter to a debt recovery agency, and the Client shall be responsible for all related legal and recovery costs.

4. Withholding Taxes and Local Regulations

In cases where the Client’s jurisdiction mandates withholding taxes or similar deductions, such taxes shall be borne by the Client. The full invoice amount remains due to Miracle Cyber LLC. Miracle Cyber LLC shall not be held liable for compliance with foreign tax laws or bear any costs related to the Client’s local tax legislation.

5. Service Delivery

Miracle Cyber LLC commits to performing services in a timely and professional manner, in accordance with agreed-upon schedules. However, unless explicitly stated, Miracle Cyber LLC does not guarantee specific results or outcomes. Obligations are limited to a duty of means and not a duty of result.

6. Claims and Disputes

Any complaints or claims must be submitted in writing and sent by registered mail to the Company’s registered office within 8 days of service delivery or product receipt. Claims submitted after this period will not be considered valid.

7. Liability and Indemnification

Miracle Cyber LLC shall not be liable for indirect, incidental, or consequential damages arising from service use or non-performance. The Client agrees not to involve Miracle Cyber LLC in any third-party claims, including end-consumer lawsuits or liabilities.

8. Intellectual Property

All materials, tools, processes, templates, and documentation provided during service delivery remain the intellectual property of Miracle Cyber LLC unless expressly transferred in writing.

9. Governing Law and Jurisdiction

These Terms and all agreements between Miracle Cyber LLC and the Client shall be governed and construed in accordance with the laws of the United States of America. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in the Company’s state of registration.

10. Modifications

Miracle Cyber LLC reserves the right to update or modify these Terms and Conditions at any time. The latest version will always be available upon request or posted on the Company’s official website.
